Please read these Terms and Conditions ("Terms", "Agreement") carefully before using the juke4.me digital jukebox software application and its associated services (the "Service", "Application", "Software") operated by Okit Technology ("us", "we", or "our"), a company incorporated in the State of Wyoming, United States of America.
By accessing, installing, or using the Service, you ("User", "Establishment", "Venue Owner") agree to be bound by these Terms. If you disagree with any part of these terms, you are strictly prohibited from accessing or using the Service.
1.1. juke4.me is a Software-as-a-Service (SaaS) platform that functions exclusively as an interactive user interface, remote control, and music request/voting system for commercial venues (such as bars, restaurants, clubs, and hotels).
1.2. Okit Technology does not host, store, download, distribute, stream, or broadcast any musical tracks, audio-visual files, or copyrighted media on or through its own servers or the juke4.me platform.
1.3. The Application merely facilitates the local queuing and customer selection of music from local hardware sources, legally pre-cleared B2B commercial music providers, or digital endpoints managed entirely by the Venue Owner.
2.1. Absolute Responsibility of the Venue: The Venue Owner acknowledges and agrees that playing music in a public or commercial space requires specific public performance and mechanical reproduction licenses. The Venue Owner bears the sole, exclusive, and absolute legal and financial responsibility for obtaining and maintaining all such licenses.
2.2. Territory-Specific Licensing Compliance: The Venue Owner explicitly covenants and warrants that it holds valid, up-to-date, and fully paid licenses from the relevant Collective Management Organizations (CMOs) and authorities in their respective jurisdiction:
2.3. Third-Party Platforms (e.g., YouTube, Spotify Personal): The juke4.me application provides tools to search or interface with digital endpoints. The Venue Owner is strictly prohibited from using the Application to stream music from personal, non-commercial third-party platforms (including but not limited to YouTube personal accounts or personal Spotify/Apple Music plans) in violation of those platforms' Terms of Service. The Venue Owner accepts all legal liability if they use an unauthorized music source.
3.1. Neither Okit Technology nor juke4.me shall be held liable, directly or indirectly, for any copyright infringement, regulatory non-compliance, or unauthorized public performance occurring at or caused by the Venue.
3.2. Indemnification Clause: The Venue Owner agrees to defend, indemnify, and hold harmless Okit Technology, juke4.me, its owners, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
4.1. We reserve the right to immediately suspend or terminate access to juke4.me, without prior notice or liability, if we have reasonable grounds to believe the Venue is operating in violation of local copyright laws or without valid CMO licenses.
4.2. We will cooperate with international and local law enforcement agencies and intellectual property authorities in Malaysia, Singapore, and Indonesia, and may disclose usage logs or data if requested via valid legal subpoenas.
5.1. This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
5.2. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the federal or state courts located in the State of Wyoming, USA, and the Venue Owner hereby expressly consents to the personal jurisdiction of such courts.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
BY INTEGRATING AND USING THE JUKE4.ME APPLICATION IN A COMMERCIAL ESTABLISHMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE LICENSING AND LIABILITY TERMS MANAGED BY OKIT TECHNOLOGY (WYOMING, USA).
